These Terms & Conditions (“Terms”) govern your access to and use of the Trukzy platform operated by Chelvy Systems and Services (“Company”, “we”, “us”, “our”). By downloading, accessing, or using our services, you (“User”, “Customer”, “Delivery Partner”, “Merchant”) agree to be bound by these Terms.

1. Eligibility

• You must be at least 18 years old and legally capable of entering into a contract under Indian law.
• Delivery Partners must hold valid commercial driving licenses and vehicle permits, as required by law.

2. Services Provided

• The Platform acts as a technology aggregator connecting:
  • Customers requiring pickup and delivery services
  • Delivery Partners providing transportation/logistics services
  • Merchants offering goods/services to be delivered
• The Company is not a logistics service provider, but an intermediary platform under the Information Technology Act, 2000.

3. User Obligations

• Customers: Provide accurate pickup and delivery details, ensure parcels comply with law (no illegal/hazardous items), and make timely payments.
• Merchants: Ensure goods are genuine, properly packed, and compliant with applicable laws.
• Delivery Partners: Use roadworthy vehicles with valid permits, comply with traffic laws, maintain professionalism, and ensure timely deliveries.

4. Booking & Payment

• Customers may book delivery services via the Platform.
• Fares are calculated based on distance, time, vehicle type, and other dynamic factors.
• Payments may be made digitally or in cash, subject to availability.
• The Company deducts a platform fee/commission before remitting amounts to Delivery Partners/Merchants.
• All payments are subject to applicable taxes (GST, TDS, etc.).

5. Aggregator’s Role & Liability

• The Company is a technology platform, not a transportation/logistics company.
• We do not guarantee delivery times, vehicle availability, or the condition of goods.
• The Company shall not be liable for:
  • Loss, theft, damage, or delay of goods during transit
  • Accidents, traffic violations, or misconduct by Delivery Partners
  • Incorrect addresses or information provided by Users
• Any disputes between Customer, Merchant, and Delivery Partner must be resolved mutually; the Company may assist but bears no liability.

6. Prohibited Uses

• Use the Platform for illegal or fraudulent purposes
• Transport prohibited items (weapons, drugs, hazardous materials, counterfeit goods, etc.)
• Interfere with the app’s operation, hack accounts, or misuse promotional offers

7. Cancellation & Refunds

• Customers may cancel a booking before pickup, subject to cancellation charges.
• Refunds (if any) shall be processed as per the Platform’s refund policy.
• The Company reserves the right to deduct cancellation fees or no-show penalties.

8. Intellectual Property

All content on the Platform (logo, design, software, text, etc.) is owned by the Company. Users may not copy, modify, or distribute without prior written consent.

9. Privacy

Use of the Platform is also governed by our Privacy Policy.

10. Suspension & Termination

• The Company may suspend or terminate access if a User:
  • Violates these Terms or applicable law
  • Engages in fraudulent or harmful activities
  • Misuses the Platform in any manner

11. Dispute Resolution & Governing Law

• Disputes shall first be attempted to be resolved amicably.
• If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed mutually.
• The seat and venue of arbitration shall be Bangalore, India.
• These Terms shall be governed by the laws of India.

12. Limitation of Liability

To the maximum extent permitted by law, the Company’s liability is limited to the platform fee/commission charged for the disputed transaction.

13. Amendments

The Company reserves the right to modify these Terms at any time. Users will be notified via the Platform, and continued use constitutes acceptance.
